Daniel A. Cotter - Chicago Attorney
Dan Cotter focuses on outside general counsel services and structuring and negotiating complex business transactions. He has handled a variety of corporate formations and dissolutions, capital restructuring projects, mergers and acquisitions, complex outsourcing and vendor transactions, including information technology (IT) and telecommunications. He has saved his clients and employers millions of dollars restructuring or negotiating agreements.
Mr. Cotter has also been involved in all aspects of several startups, including negotiating lease space, hiring employees and negotiating employment contracts, and acting as general advisor to senior management. He also has experience working with organizations in the development, drafting, dissemination, and training with respect to various compliance policies and programs. He has drafted employment and severance agreements and developed corporate compliance policies and handbooks. Mr. Cotter’s policies and procedures drafting includes a subpoena process, IT security and privacy policies, safety procedures, executive travel policies and travel expense policies, corporate compliance and ethics webinars.
Mr. Cotter also has extensive regulatory experience, including: responsibility for all legal and regulatory oversight of CNA’s $60 million Y2K project; advising E-commerce team on regulatory issues; developing privacy statements and legal disclaimers and acting as privacy officer, including for HIPAA, at several large organizations; responsibility for OFAC and regulatory oversight and compliance, as well as developing and implementing an extensive records retention policy; development of corporate ethics training programs; and working on a number of utilities shutoff cases, including representation before the Illinois Commerce Commission.
Mr. Cotter has more than 13 years of in-house experience at large, multinational public companies, including supporting multiple business units. As a former in-house counsel and certified public accountant (CPA), he understands the pressures of in-house counsel on costs and providing efficient services and supports the client’s interests effectively while keeping those pressures in mind. Mr. Cotter has been a Secretary of numerous companies, and has extensive experience with organizational and governance documents, including bylaws, articles of incorporation, amendments, minutes and consents.
Dan Cotter is also an active member of the legal and general community and has held various leadership and board positions with a number of non-profits, including advising on formation and operations. He currently serves as the Treasurer and a Member of the Board of Managers for the Chicago Bar Association and as Treasure of The John Marshall Alumni Association. Mr. Cotter also currently serves as the Chair of the Lawyers Lend-A-Hand to Youth Program and the Edgebrook Public School Local School Council and is a Member of the Board of Directors of the Epilepsy Foundation of Greater Chicago and Board of Trustees of Monmouth College. Dan also serves as an Adjunct Professor at John Marshall Law School where he teaches Insurance Law and Accounting for Lawyers, and has submitted proposals for Social Enterprise and Judicial Biography courses.
